Corporate M&A Attorney, Princeton, NJ

Premiere full-service law firm and leading venture capital firm headquartered in New York is seeking an experienced corporate M&A attorney to join its dynamic team in the firm’s Princeton office. This firm values collaboration, innovation, and delivering tailored solutions to meet clients’ unique business needs.

Position Overview:

Ideal candidates will have 7-10 years of experience in corporate law, with a strong background in corporate transactions, including mergers, acquisitions, and private equity. This role offers the opportunity to work on high-profile deals alongside a team of skilled professionals in a supportive and growth-oriented environment.

Key Responsibilities:

• Advise clients on complex corporate transactions, including mergers, acquisitions, joint ventures, and private equity deals.
• Draft, review, and negotiate key transaction documents, such as purchase agreements, shareholder agreements, and confidentiality agreements.
• Conduct due diligence and provide strategic guidance to clients throughout the transaction process.
• Collaborate with clients, financial advisors, and other stakeholders to ensure seamless execution of deals.
• Provide guidance on corporate governance, structuring, and compliance matters.

Qualifications:

• JD from an accredited law school.
• Active bar membership in NJ; NY is a plus.
• 7-10 years of experience in corporate law, with a strong emphasis in M&A transactions.
• Ability to manage complex deals from start to finish.
• Exceptional drafting, negotiation, and analytical skills.
• Strong client relationship management and business development skills.
